Terms & Conditions
By placing an order with Vandagraph, you are accepting our terms and conditions. Your existing statutory rights are not affected by these conditions.
These Terms and Conditions apply to all sales made by Vandagraph Ltd (the “Seller”).
The Seller supplies goods primarily to business customers. Nothing in these Terms affects any statutory rights where applicable.
1. Definitions
1.1 The “Buyer” means the person or company purchasing Goods from the Seller.
1.2 The “Seller” means Vandagraph Ltd.
1.3 “Goods” means any products supplied by the Seller.
1.4 “Conditions” means these Terms and Conditions.
1.5 “Writing” includes email and other electronic communication.
2. Conditions
2.1 These Conditions apply to all contracts to the exclusion of any other terms.
2.2 Variations must be agreed in writing.
2.3 No representations are binding unless confirmed in writing.
2.4 Errors in documentation may be corrected without liability.
2.5 A contract is formed upon order confirmation.
2.6 Acceptance of delivery confirms acceptance of these Conditions.
2.7 Orders may be restricted due to licensing, regulatory, or distribution requirements.
2.8 Distributors
- must provide product feedback and complaints to the Seller
- must maintain customer traceability for recall purposes
- must complete periodic distributor reviews as requested
3. Prices
3.1 Prices are those in effect at the time of order.
3.2 Prices may be revised prior to dispatch due to cost increases.
3.3 All prices exclude VAT, carriage, and applicable duties/taxes unless stated otherwise.
3.4 The Buyer is responsible for all import duties, taxes, and clearance charges.
3.5 Where possible, 30 days’ notice will be provided for UK price changes.
3.6 Insurance
The Seller may apply shipping insurance at 1% of the order value (minimum £10.00 / 11.50 EUR / $12.50).
If declined:
- written confirmation is required
- risk transfers fully to the Buyer upon dispatch
4. Payment
4.1 Credit accounts are subject to approval.
4.2 Non-credit customers must pay prior to dispatch.
4.3 Payment terms shall not exceed 30 days unless agreed.
4.4 Late payment may result in suspension of supply.
5. Interest on Overdue Invoices
5.1 Interest is charged at 2% above Barclays Bank base rate.
5.2 Payments must be made without deduction or set-off.
6. Delivery
6.1 Delivery dates are estimates only.
6.2 The Seller is not liable for delays.
6.3 Delivery is deemed complete on first carrier attempt.
6.4 The Seller may deliver in instalments.
6.5 Failure to accept delivery may result in storage or resale charges.
6.6 Shipping
Shipping method is at the Seller’s discretion unless agreed.
6.7 Import Duties and Taxes
Delivery is made under Incoterms 2020 (CIP, CPT or EXW unless agreed otherwise).
The Buyer is responsible for:
- import duties
- taxes
- customs clearance
If shipments are returned due to non-payment, all associated costs remain payable by the Buyer.
6.8 Part Shipments
Part shipments may be made and may incur additional charges.
7. Ownership and Risk
7.1 Risk passes on delivery.
7.2 Ownership remains with the Seller until full payment is received.
7.3 Goods must be stored separately and insured until ownership transfers.
8. Warranties and Liability
8.1 Goods will correspond to their description at delivery.
8.2 The Seller is not liable for defects caused by:
- misuse or negligence
- incorrect installation
- unauthorised modification or repair
- failure to follow instructions
8.3 Manufacturer warranties apply where provided.
8.4 To the fullest extent permitted by law, all implied warranties are excluded.
8.5 The Seller shall not be liable for:
- loss of profit
- loss of business
- loss of data
- indirect or consequential losses
8.6 Total liability is limited to the value of the Goods supplied.
Nothing in these Conditions excludes liability for death or personal injury caused by negligence.
9. Returns / Cancellations (Business Customers)
9.1 Orders cannot be cancelled once accepted without written approval.
9.2 Returns require prior authorisation.
9.3 Non-faulty returns may:
- incur restocking charges (up to 25%)
- require Buyer-paid return carriage
9.4 Goods must be:
- unused
- in original condition and packaging
9.5 Shortages, damage or defects must be reported within 3 days of delivery. Claims reported outside this period may not be accepted.
9.6 Remedies are limited to:
- repair
- replacement
- or refund (at Seller’s discretion)
10. Insolvency
The Seller may suspend or cancel orders if the Buyer becomes insolvent.
11. Customer Service
The Seller will respond to enquiries within a reasonable timeframe.
12. Intellectual Property
All intellectual property remains with the Seller or its suppliers.
13. Force Majeure
The Seller is not liable for events beyond its control.
14. Data Protection
Customer data is used only for order fulfilment and related purposes.
15. Third Party Rights
The Contracts (Rights of Third Parties) Act 1999 does not apply.
16. Notices
All notices must be in writing.
17. Enforceability
Invalid clauses do not affect the remainder of the agreement.
18. Dispute Resolution
Disputes may be referred to arbitration.
19. Jurisdiction
These Conditions are governed by English law.
20. Website Use & Registration
20.1 Users must provide accurate account information.
20.2 Account security is the user’s responsibility.
20.3 Website content is for general information only.
20.4 The Seller does not provide medical advice.
20.5 External links are not controlled by the Seller.
20.6 Content may not be reproduced without permission.
